Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern your access to and use of the Entalpa platform (“Service”), operated by Entalpa Corp., a corporation incorporated in the State of Delaware, United States (File No. 10580292), with its principal mailing address at 228 Park Ave S, PMB 85451, New York, NY 10003, United States (“we”, “us”, “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Description of Service

Entalpa is an AI-powered requirements engineering platform that enables users to:

  • Generate, organise, and manage structured software requirements
  • Import and export requirements in standard formats (including ReqIF)
  • Use AI-assisted generation, analysis, and quality assessment of requirements
  • Collaborate on projects with other users
  • Access requirements via MCP (Model Context Protocol) from compatible development tools

3. Account Registration and Public Demo

You may use the limited public demo without creating an account. To claim or continue working on a generated draft, purchase credits, or use other authenticated features, you must create an account. When you register, you agree to:

  • Provide accurate and complete registration information
  • Keep your login credentials secure and confidential
  • Notify us immediately of any unauthorised use of your account
  • Accept responsibility for all activity under your account
  • Accept responsibility for any external client or agent you authorise to access your account, including what it reads and what it changes

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Upload content that infringes third-party intellectual property rights
  • Attempt to gain unauthorised access to the Service or its infrastructure
  • Interfere with or disrupt the Service's operation
  • Use automated tools to scrape, crawl, or extract data from the Service without our prior written consent
  • Reverse-engineer, decompile, or disassemble any part of the Service

5. Your Content

You retain ownership of all content you create, upload, or input into the Service (“User Content”), including project descriptions, requirements, stories, and stakeholder information.

By using the Service, you grant us a limited, non-exclusive licence to process your User Content solely for the purpose of providing the Service to you. This includes transmitting content to third-party AI model providers for generation and analysis (see our Privacy Policy for details).

We do not claim ownership of your User Content. We do not use your User Content to train AI models.

6. AI-Generated Content

The Service uses large language models to generate requirements, assessments, and other outputs (“AI-Generated Content”). You acknowledge that:

  • AI-Generated Content is provided as a starting point and should be reviewed by qualified professionals
  • We do not guarantee the accuracy, completeness, or fitness for purpose of AI-Generated Content
  • You are solely responsible for reviewing, validating, and using AI-Generated Content in your projects
  • AI-Generated Content does not constitute professional engineering, legal, or business advice

7. Credits and Payment

Most AI features use credits. The limited public demo may be offered without charge and is subject to separate usage limits. Credits are consumed when metered AI features are used. Credits are sold at a base price of 1.00 USD per credit, in quantities of 5 to 500 credits per purchase. Prices are inclusive of any applicable sales tax, VAT, or GST, and are listed in US dollars; Stripe or Link may present and charge a local-currency amount through Adaptive Pricing.

Purchases are processed through Stripe Managed Payments, with Stripe acting as the merchant of record. Checkout, receipts, invoices, and refund notifications identify the purchase as sold through Link; transaction support is available through Link. Entalpa provides and supports the digital credits. Your card statement is expected to show LINK.COM* ENTALPA CORP, subject to your card issuer's display or truncation.

Credit top-ups are one-time purchases. They do not create a subscription, recur, or renew automatically. Credits are granted only after Stripe confirms payment; delayed payment methods can take longer to confirm. Credits do not expire. We may also grant credits free of charge at our discretion. Complimentary credits have no cash value, are not redeemable for money, and may be changed or withdrawn at any time.

You may request a full or partial refund for unused purchased credits within 7 calendar days after Stripe confirms payment. Used credits and complimentary credits are not refundable as money. We use complimentary credits first, then purchased credits from the oldest purchase first. A successful refund deducts the corresponding available purchased credits without reversing prior usage; if the refund later fails or is canceled, any credits deducted for that refund are restored. Completed top-ups have no recurring service to cancel; our Refund Policy explains the request process and Stripe's separate Managed Payments refund authority.

We may modify pricing with reasonable notice. Any change applies to purchases made after it takes effect.

8. Intellectual Property

All rights in the Service itself — including its design, code, branding, and documentation — are owned by Entalpa Corp. and are protected under the laws of the United States and applicable international copyright and intellectual property laws.

You may not reproduce, distribute, or create derivative works from any part of the Service without our prior written consent.

9. Availability and Support

We aim to provide a reliable Service but do not guarantee uninterrupted or error-free availability. We may:

  • Perform maintenance that temporarily affects availability
  • Modify, suspend, or discontinue features with reasonable notice
  • Impose usage limits to maintain service quality

10. Limitation of Liability

To the fullest extent permitted by applicable law:

  • The Service is provided on an “as is” and “as available” basis
  • We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
  • Our total liability for any claim arising under these Terms shall not exceed the amount paid for the Service or Entalpa credits, including through Link, in the 12 months preceding the claim

Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law.

11. Termination

You may terminate your account at any time by contacting us. We may terminate or suspend your access if you breach these Terms or if we discontinue the Service.

Upon termination, your right to use the Service ceases. You may request export of your User Content prior to termination. We will delete your data in accordance with our Privacy Policy.

12. Third-Party Services

The Service integrates with third-party services including AI model providers, cloud infrastructure, payment processing, and authentication services. We are not responsible for the availability, accuracy, or practices of third-party services. Your use of such services is subject to their respective terms and policies.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or via the Service. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the federal and state courts located in the State of Delaware.

If you are a consumer located in the European Union, you may also have the right to bring a claim before the courts of your country of residence under applicable local law.
